Terms of Service

In plain terms. Prepara is a paid online courseware platform at app.preparacourse.com. A free account lets you read the opening chapters of a book; paying opens the whole book, the lecture videos, and the AI study tools for one term, about 120 days. You are buying a license to use the content for that term, not ownership of it, and access ends when the term ends. Payments run through Stripe on behalf of PhD Analytics LLC, so a card charge shows as “PhD Analytics,” and we never see your card number. All sales are final, except where the law requires a refund or we fail to deliver what you paid for. The sections below are the actual agreement; if anything is unclear, email admin@preparacourse.com.
These Terms are an agreement between you and Prepara LLC (“we,” “us”), an Oklahoma company that operates and publishes the Prepara courseware platform and its books (the “Service”), reached at app.preparacourse.com. By creating an account, redeeming an access code, making a purchase, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
What you are buying
A free account lets every reader open the opening chapters of a book (currently the first two) at no charge, for as long as the account exists. Full access opens the whole book, the lecture videos, and the AI study tools. You get full access by paying, by redeeming a bookstore or instructor access code, or by a grant from your instructor, your school, or us. There are only these two levels; there is no per-chapter purchase.
Full access bought with a payment or a bookstore code lasts for one term, about one semester, 120 days from the date access is granted. After that it expires and access ends. We tell you the term before you pay.
You are licensing the content, not buying it. When you pay for full access, you are buying a limited, personal, non-transferable license to use the content for the term. You are not buying ownership of the content or a permanent copy of it, and your access ends when the term ends. We say this plainly so it is clear before you pay that a purchase is a time-limited license, not a product you own outright.
Content carries a per-user watermark, both a visible one and an invisible one. Do not remove or alter it, and do not share, copy, resell, or redistribute the content. We may end your access when the term ends, if a payment is reversed, if you break these Terms, or if the law requires it.
Your account
You are responsible for your account and for everything done through it, so keep your password secure and do not share your login. Tell us at admin@preparacourse.com if you think your account has been used without your permission. Creating an account is free. You must give accurate information, including a valid academic (school-issued) email address, which we require at sign-up, and you may turn on two-factor authentication.
You must be at least 13 years old to hold an account; the Service is built for college coursework and is not for children under 13. To make a purchase, you must be old enough to enter a contract where you live (usually 18) or have a parent or guardian's permission, because a purchase is a contract.
Access codes
An access code is a single-use credential from your instructor, your bookstore, or us that opens full access for the standard term. We never email access codes to students, and each code works only once. If a code does not work, check with whoever gave it to you, or email us at admin@preparacourse.com and we will help trace it.
Payments
Payments are processed by Stripe on behalf of PhD Analytics LLC, our payment affiliate, through a redirect checkout (PCI DSS SAQ-A). Your card number never reaches our servers, and we do not see or store it. A charge appears on your statement as “PhD Analytics.” The price of full access is set per section and is shown to you before you pay, and you are responsible for any tax that applies. Full access is a single, one-time purchase for a fixed term; it does not renew on its own and does not enroll you in a subscription.
Refunds
All sales are final and full access is non-refundable. The only exceptions are where the law where you live requires a refund that cannot be waived, and where we fail to deliver the access you paid for or the access is materially defective and we cannot fix it within a reasonable time. In those cases, email us at admin@preparacourse.com and we will make it right. If a payment is reversed for any reason, whether a refund we issue, a bank chargeback, or a payment dispute, the access it paid for ends at the same time.
Using the platform fairly
- Do not share your login or your access; your account and your access are for you alone.
- Do not copy, scrape, bulk-download, record, republish, resell, or redistribute the content, remove or alter watermarks, or try to get around any access control.
- Do not misuse the AI features, for example by trying to extract their underlying prompts or models, by submitting another person's personal information, or by submitting unlawful, harmful, or abusive content, and do not disrupt, overload, or reverse-engineer the Service.
- Connect a course to a learning-management system only for sections you are authorized to teach or take.
- Follow your school's academic-integrity and acceptable-use rules and the law.
We may look into suspected violations and may suspend or end access for conduct that we reasonably believe breaks these rules or harms the Service, other users, or Prepara LLC.
AI study tools
The Service includes several AI study features: an AI tutor you can ask questions, an AI support assistant, voice notes that you record and we transcribe to text for you, and in-chapter learning widgets. Each is labeled as AI, so you always know when you are working with an automated system rather than a person.
AI output can be wrong, incomplete, or out of date. We do not promise that anything an AI feature tells you is correct, and it is not a substitute for the course content, for professional advice, or for your own judgment. You are responsible for checking anything important and for how you use what an AI feature produces. These tools are study aids: using them does not change your instructor's or your school's rules about what help is allowed on graded work, and you are responsible for making sure the work you submit is your own where your course requires it.
When you record a voice note, you agree that we may transcribe the audio to text so you can search and review it. Record only your own voice and your own study notes; do not record other people without their permission or record anyone else's personal information. Your recordings and their transcripts are private to your account. Your input to the AI features is not used to train any outside AI model.
Research and product improvement
We study how the Service is used so we can make it teach better and report honestly to schools on how it is working. This is program evaluation and product improvement, not research on you as a named individual. As part of it, we may show different students slightly different versions of a lesson, a layout, or a study feature and compare how each version works, assigning versions by an automatic method that does not depend on who you are. A version may add material or arrange it differently, but it never removes material you were assigned, so every student always keeps the full educational content of the course, and we can end any comparison and return everyone to the standard version.
Separately, you can choose whether your learning data is included, anonymously, in published education research. That choice appears once, on a card shown when you first sign in. It defaults to off, published results report groups and never individuals, and you can change it any time in Settings. It never affects your access or your grade.
Your school and its LMS
When your school uses the Service for a class, some records we keep about you in that class, such as your enrollment, your progress, your quiz and assignment results, your submissions, and your tutor conversations for that section, can be education records under FERPA, the federal student-privacy law. For those records we act as a school official with a legitimate educational interest: we handle them only to run the class for your school, under your school's control, and we do not use or share them for anything else except as your school directs or the law requires. We will sign a data processing agreement with a school on request. If an instructor connects a section to the school's learning-management system, such as Canvas, using the LTI standard, your grades and completion for that section flow only to that school's own gradebook. Who owns what
The course content, videos, software, and design are owned by Prepara LLC or by the author who licenses them to us, and they are protected by copyright. Your license lets you use the content for your own learning or teaching; it does not let you reproduce or distribute it. You keep ownership of the work you create in the Service: your notes, highlights, voice notes, boards, and submissions. You give us permission to store, transcribe (for voice notes), and show that work back to you, and, for a section you are enrolled in, to the teaching staff of that section, only as needed to run and support the Service. We do not claim your work and do not use it to train any outside AI model.
Accessibility
We want the Service to be usable by everyone and design it to meet the Web Content Accessibility Guidelines (WCAG) 2.2, Level AA. This supports our school customers' obligations under Section 504, the ADA, and, for public institutions, the ADA Title II web rule. Accessibility is ongoing work, and some content may not yet fully meet the standard. If you run into an accessibility barrier, email us at admin@preparacourse.com and we will work promptly to fix it or to give you the content in an accessible alternative.
If something goes wrong
The Service and the content are provided “as is” and “as available,” without warranties of any kind, to the fullest extent the law allows. We do not promise that the Service will be uninterrupted, secure, or error-free, or that any content or AI output will be accurate. Some places do not allow certain warranty exclusions, so some of these may not apply to you.
To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential damages, or for lost data or lost profits. Our total liability for any claim arising out of or relating to the Service or these Terms will not be more than the greater of fifty US dollars ($50) or the amount you paid to Prepara LLC or PhD Analytics LLC for the Service in the 12 months before the claim. Some places do not allow these limits, so parts of this may not apply to you. You agree to cover claims that arise from your misuse of the Service or your breach of these Terms or the law, except to the extent a claim comes from our own gross negligence or willful misconduct, or where you are a public institution that cannot give such a promise by law.
The legal details
Governing law and disputes. These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Payne County, Oklahoma, and you agree to the jurisdiction of those courts, except where the law gives you a non-waivable right to resolve a dispute in the courts of the place where you live or to have your home state's law apply. Either party may still bring an individual claim in small-claims court, and nothing here overrides a non-waivable right or remedy you have under the consumer-protection law of the place where you live. There is no mandatory arbitration; disputes are resolved in court as described here.
Ending your account. You may stop using the Service and delete your account at any time in Settings, which ends your access; except for the refund exceptions above, deletion does not entitle you to a refund of a fee already paid. We may suspend or end your access if you materially break these Terms, if the law requires it, or if your continued use risks the Service or others, and we will give you notice where practical.
Changes and general terms. We may update these Terms; when a change is material we will update the date at the top and, where appropriate, give notice through the Service or by email, and using the Service after a change takes effect means you accept it. These Terms, together with the Privacy Policy and any agreement with your school, are the entire agreement between you and Prepara LLC about the Service. If any part is unenforceable, the rest stays in effect, and our not enforcing a term is not a waiver of it. You may not transfer these Terms; we may transfer them to an affiliate or in connection with a sale of the business. These Terms do not make us partners, and the parts that by their nature should last, including ownership, the school and FERPA obligations, the disclaimers, the liability limit, and this section, continue after your account ends.
